Proposal Terms & Conditions
We hereby propose to furnish all labor and materials necessary to complete the work described in this proposal in accordance with the specifications, terms, and conditions stated herein.
1. Acceptance of Proposal
By signing or otherwise accepting this proposal, the Customer acknowledges that they have read, understood, and agreed to the scope of work, pricing, specifications, payment terms, and Terms & Conditions contained herein.
This proposal, together with any approved Change Orders, constitutes the agreement between the Customer and Red Roofing LLC.
2. Scope of Work
Red Roofing LLC will perform the work specifically described in the accepted proposal.
Any labor, materials, repairs, upgrades, or other services not specifically included in the original scope of work are considered additional work and may result in additional charges.
Conditions that are concealed or could not reasonably be identified before removal of existing roofing or other materials are not included unless specifically stated in the proposal.
3. Change Orders & Additional Work
Any changes or additions requested by the Customer after acceptance of the proposal may require a written Change Order.
The Change Order will describe the additional or revised work, any change in price, and any anticipated change to the project schedule.
The Customer agrees to pay all additional labor and material charges associated with approved Change Orders.
When immediate additional work is reasonably necessary to protect the structure, comply with applicable building requirements, or properly complete the roofing system, Red Roofing LLC will make reasonable efforts to obtain Customer authorization before proceeding.
4. Pricing
Pricing contained in this proposal is valid for 30 days from the proposal date unless otherwise stated.
Pricing is based upon conditions reasonably observable at the time of the estimate. Additional charges may apply for concealed damage, additional roofing layers, structural deficiencies, code-required work, material changes, Customer-requested upgrades, or other unforeseen conditions discovered after work begins.
Material pricing is subject to change if the proposal is not accepted within the stated 30-day period.
5. Payment Terms
Unless otherwise stated in the proposal, payment shall be made as follows:
$500.00 Down Payment – Due upon acceptance of the proposal.
50% of Contract Amount – Due when roofing materials are delivered to the property.
Remaining Contract Balance – Due upon substantial completion of the contracted work.
Any approved Change Orders, additional materials, additional layers of roofing, additional decking, or other authorized charges shall be added to the final balance unless otherwise agreed in writing.
Payment may be made by cash, check, or approved credit card.
Failure to make payments when due may result in suspension of work and/or collection proceedings as permitted by applicable law.
6. Workmanship Warranty
Red Roofing LLC provides a 25-Year Workmanship Warranty on qualifying roofing installations, covering defects resulting directly from our installation workmanship, subject to the terms and exclusions of the applicable written workmanship warranty.
The workmanship warranty does not cover damage or failure caused by acts of God, severe weather, hail, wind events exceeding product specifications, structural movement, building defects, improper ventilation not included in our scope, alterations or repairs performed by others, abuse, neglect, lack of maintenance, or material/manufacturer defects.
Applicable manufacturer warranties will be provided or passed through to the Customer when available. Manufacturer warranty claims are subject to the manufacturer's individual terms, conditions, limitations, and exclusions.
7. Permits, Codes & Regulations
Unless specifically included in the proposal, the Customer is responsible for the cost of permits, inspections, approvals, HOA requirements, or other governmental requirements associated with the project.
Red Roofing LLC will perform contracted roofing work in accordance with applicable Indiana and local building requirements applicable to the contracted scope of work.
If additional work or materials are required to meet applicable building requirements and were not reasonably identifiable or included in the original proposal, those items may result in an additional charge.
8. Property Access & Customer Responsibilities
The Customer agrees to provide Red Roofing LLC, its employees, subcontractors, suppliers, and equipment providers reasonable access to the property during the project.
The Customer is responsible for:
Moving vehicles away from the immediate work area.
Removing or protecting fragile items from walls, ceilings, shelves, and areas that may be affected by normal roofing vibrations.
Identifying septic systems, underground utilities, irrigation systems, invisible fences, or other concealed property features that could be affected by equipment or material placement.
Keeping children and pets safely away from the work area.
Red Roofing LLC will make reasonable efforts to protect the property and surrounding areas during construction.
9. Dumpster & Third-Party Delivery Damage
Dumpsters, waste containers, material deliveries, and certain equipment may be provided, delivered, placed, moved, or removed by independent third-party companies.
Red Roofing LLC is not responsible for damage caused directly by a third-party dumpster, waste-hauling, delivery, or equipment company or by that company's vehicles or equipment.
This includes, but is not limited to, damage to:
Concrete or asphalt driveways
Sidewalks and curbs
Lawns and landscaping
Irrigation systems
Septic systems
Underground utilities
Drainage systems
Other portions of the property
Claims for damage caused directly by a third-party provider shall be directed to the responsible company.
Red Roofing LLC will provide available information regarding the responsible third-party provider upon request.
10. Roofing Operations & Property Protection
Roof replacement involves demolition, falling debris, vibration, foot traffic, equipment, and the transportation of roofing materials.
Red Roofing LLC will exercise reasonable care while performing the work. However, the Customer acknowledges that normal construction activities may cause minor disturbances such as dust, vibration, granule accumulation, temporary lawn disturbance, or minor cosmetic effects.
Red Roofing LLC will perform a reasonable cleanup of roofing debris upon completion.
Although magnetic cleanup will be performed when appropriate, Red Roofing LLC cannot guarantee that every nail, fastener, or small piece of roofing debris will be recovered.
11. Weather & Project Delays
All scheduling and completion dates are estimates and are subject to weather, material availability, supplier delays, labor availability, concealed conditions, Change Orders, emergencies, and circumstances beyond the reasonable control of Red Roofing LLC.
Red Roofing LLC shall not be responsible for delays caused by weather, acts of God, supplier or manufacturer delays, government actions, or other circumstances outside our reasonable control.
12. Existing & Concealed Conditions
Red Roofing LLC is not responsible for pre-existing damage, structural deficiencies, improperly installed existing materials, mold, rot, deterioration, electrical issues, plumbing issues, HVAC issues, framing deficiencies, or other concealed conditions that were not reasonably visible before work began.
If concealed damage or unsafe conditions are discovered, Red Roofing LLC will notify the Customer and provide pricing for additional work when appropriate.
Additional work necessary to properly complete the project will be performed only after authorization, except where temporary emergency measures are reasonably necessary to protect the structure from immediate damage.
13. Liability
Red Roofing LLC maintains liability insurance, and a Certificate of Insurance can be provided upon request.
Red Roofing LLC is not responsible for damage resulting from acts of God or events outside its reasonable control, including but not limited to storms, hail, high winds, tornadoes, floods, fires, lightning, falling trees, or other natural disasters.
Nothing contained in this agreement is intended to waive liability that cannot legally be waived under applicable law.
14. Cancellation
The Customer may cancel this agreement prior to commencement of work, subject to applicable law and any cancellation rights provided to the Customer.
If cancellation occurs after Red Roofing LLC has incurred expenses for permits, specially ordered or non-returnable materials, delivery charges, administrative costs, mobilization, or other project-specific expenses, the Customer may be responsible for those documented costs to the extent permitted by law.
A cancellation fee of up to $500.00 may apply where permitted by law and where costs have been incurred.
Any legally required Notice of Cancellation will be provided when applicable.
15. Dispute Resolution
If a dispute arises concerning this agreement or the work performed, the Customer and Red Roofing LLC agree to first make a reasonable good-faith effort to resolve the dispute directly.
If the dispute cannot be resolved through negotiation, the parties agree to pursue arbitration in accordance with the applicable rules of the American Arbitration Association, to the extent enforceable under applicable law.
16. Governing Law
This agreement shall be governed by and interpreted in accordance with the laws of the State of Indiana.
17. Amendments & Entire Agreement
Any amendment, modification, or addition to this agreement must be made in writing and approved by both parties.
The accepted proposal, these Terms & Conditions, and any approved Change Orders constitute the agreement between the parties regarding the contracted work.
YOUR ROOF INSTALLATION INCLUDES
Unless otherwise specified in your individual proposal, a standard Red Roofing LLC roof replacement includes:
Roof Removal
Removal and disposal of existing roofing materials as specified in the proposal.
The quoted roof replacement price includes removal of one (1) existing layer of roofing unless otherwise stated.
Additional roofing layers discovered during tear-off will be charged at:
$25.00 per square, per additional layer.
Metal roofing projects may have different removal requirements as specifically stated in the proposal.
Roof Deck Inspection
After removal of the existing roofing, the exposed roof decking will be visually inspected for damaged, deteriorated, or rotten areas.
Red Roofing LLC will replace the first two (2) sheets of standard plywood/OSB roof decking at no additional charge when replacement is necessary as part of the roofing project.
Additional sheets will be charged at:
$75.00 per sheet installed.
Specialty decking, dimensional lumber, structural framing repairs, tongue-and-groove decking, or other non-standard materials are not included in the $75.00 per-sheet price and will be quoted separately if required.
Underlayment
Installation of approved roofing underlayment on applicable roof slopes in accordance with the roofing system specifications and applicable requirements.
Ice & Water Protection
Ice and water shield will be installed as specified for the roofing system and where required, including applicable eaves/perimeters, valleys, skylights, penetrations, and other critical areas.
Unless otherwise specified, the system includes approximately 3 feet of ice and water protection at applicable perimeter/eave areas on heated portions of the structure and additional protection where required by the roof design or applicable code.
Valleys & Flashing
Existing valley flashing will be replaced where required by the selected roofing system and scope of work.
Existing wall and counter flashing that is suitable for reuse may be re-secured and sealed as necessary.
Replacement of specialty flashing, masonry counter flashing, chimney flashing, siding, stucco, or other concealed flashing assemblies is not included unless specifically stated in the proposal.
Plumbing Vent Flashing
Standard rubber plumbing vent pipe flashings/boots included in the roofing scope will be replaced as necessary during roof installation.
Roof Ventilation
Existing roof vents included within the scope of work will be replaced as applicable.
Supplemental ventilation may be installed when specifically included in the proposal or when necessary to meet the requirements of the selected roofing system and applicable Indiana/local building requirements.
Structural modifications or additional ventilation systems not included in the original proposal may result in additional charges.
Sealants
Applicable flashing areas, penetrations, exposed fasteners, and other roofing details will be sealed as necessary using appropriate roofing sealants.
Cleanup
Upon completion, Red Roofing LLC will perform a Supreme Cleanup of the roofing work area, including reasonable removal of roofing debris from:
Gutters/eavestroughs where accessible and affected by our work
Areas immediately surrounding the home
Driveways and primary work areas
Landscaping and lawn areas affected by roofing debris
Magnetic cleanup will be performed in appropriate areas to collect loose roofing fasteners. Due to the nature of roofing work, complete recovery of every nail or small piece of debris cannot be guaranteed.
CUSTOMER ACCEPTANCE
By accepting and/or signing the proposal, the Customer acknowledges that they have reviewed the scope of work, pricing, payment schedule, installation specifications, and Terms & Conditions and agrees to be bound by them.
